										<content:encoded><![CDATA[<p>On Saturday, March 28 2026, Zenith Bank held the climax of its month-long activities to commemorate March as women’s month. The event which held at The Civic Centre, was the second of such activity at the Centre, having held the International Women Day Seminar on the 9th of March, 2026. The event was to honour and give awards to exceptional women who have shown resilience in their communities with heir vocation impacting lives sustainably.</p>
<p>Speakers after speakers eulogized Zenith Bank for its people-centred activities and appreciated the Ford Foundation for identifying the Bank as a worthy partner in its push to support women in their peculiar cultural and economic conditions across the world.</p>
<p>Themed “Celebrating Resilience, Leadership, and Generosity” the award recognised 19 women who were selected from the six geo-political zones in trade, petty manufacturing, education, and agriculture. These women demonstrated extraordinary strength, leadership, and impact despite the significant challenges posed by the difficult economic situation in the country.</p>
<p>According to the organisers, the initiative provided a platform to showcase unsung “Sheroes” — everyday women who are making meaningful contributions in their communities and fields. These include market women, small-scale business owners, community leaders, educators, healthcare workers, and many others whose vital roles often go unnoticed.</p>
<p>The sponsors of the event noted that each awardee exhibited excellence in several key areas, including leadership and initiative, community impact, innovativeness and resourcefulness, perseverance, integrity, community trust, and philanthropy.</p>
<p>Among those honoured were:</p>
<ul>
<li>Mrs Regina Amankulor, a retired nurse empowering young people in Umuode-Nsulu community, Isiala Ngwa North LGA, Abia State;</li>
<li>Mary Matanmi, Coordinator of the Nigeria Association of Hairdressers, Barbers and Cosmetologists, Lagos State chapter;</li>
<li>Ifeanyi P. Ugwueze, a Guidance Counsellor and Life Coach who continues to thrive despite blindness and is currently pursuing a doctorate degree.</li>
</ul>
<p>Others include:</p>
<ul>
<li>Amina Musa, a trade educator based in Karonmajiji, AMAC, Abuja;</li>
<li>Adenike A. Lambo, the Iyaloja of Ilorin;</li>
<li>Sadiya Abubakar, an educator in Jibi (Deidei), Bwari Area Council, FCT;</li>
<li>Erikan Idem Andrew, a market woman with significant community impact in Port Harcourt;</li>
<li>Ngozi B. Nwankpa, an Aba-based fashion designer;</li>
<li>Hadiza Umar, a Development Specialist based in Kaduna, Kaduna State;</li>
<li>Joy C. Ezenwa (aka Mama Amala), a trader at Sabon Gari Market, Kano;</li>
<li>Shola Esther Babalola (Mama Sho), promoter of natural honey and founder of the Mama Sho Honey brand in Lagos;</li>
<li>Josephine Ugwu, a staff member of the Federal Airports Authority of Nigeria (FAAN), honoured for her honesty in recovering and returning millions of naira mistakenly dropped by passengers at Murtala Muhammed Airport, Lagos.</li>
<li>And many others.</li>
</ul>
<p>In her keynote address, the Group Managing Director of Zenith Bank, Dame Dr. Adaora Umeoji, OON, who was represented by Executive Director, Adobi Nwapa, praised the awardees and reaffirmed the bank’s strong commitment to women’s empowerment. She noted that “Zenith Bank’s commitment to gender inclusion is not a rhetoric but one of the ethos that the bank holds very dearly”. She also said, “Zenith Bank has a 50-50 gender ratio with women occupying strategic positions in the bank’s management and Board up to the current Group Managing Director being the very first female to hold that position.</p>
<p>The Regional Director of the Ford Foundation, Dr Chichi Aniagolu, described the Woman of Power Award as an eye-opener, noting that her team’s journey across the country revealed the vast and often overlooked facets of human potential among Nigerian women.</p>
<p>Both the Ford Foundation and Zenith Bank Plc have pledged to sustain and grow the initiative in the coming years.</p>
<p>Zenith Bank used the forum to notify the women of their various women-targeted products and initiatives, including the Z-Woman initiative, and the Bank’s 19-year sole sponsorship of the NBBF Women’s Basketball League; thus, further highlighting its position at the forefront of women empowerment and economic inclusion across the country.</p>

										<content:encoded><![CDATA[<p>Zenith Bank Plc has released its unaudited financial results for the nine months ended 30 September 2025, with a remarkable 16% year-on-year growth in gross earnings from N2.9 trillion recorded in Q3 2024 to N3.4 trillion in Q3 2025.</p>
<p>The Group’s performance continues to demonstrate resilience, strong momentum, disciplined execution and an ability to deliver long-term shareholder value in spite of challenging macroeconomic environment.</p>
<p>According to the financial results presented to the Nigerian Exchange (NGX), the growth in gross earnings was driven by a sustained growth in interest income which grew by 41% year-on-year to N2.7 trillion.</p>
<p>The growth in interest income was supported by a high-yield rate environment and an expansion in the Bank’s investment portfolio.</p>
<p>Despite the increase in interest expense by 22% to N814 billion on the back of a tightening monetary cycle and a growth in the Bank’s funding base, the Bank was able to achieve a healthy Net Interest Margin (NIM) of 12% as against 10% in September 2024.</p>
<p>Non-interest income declined by 38% to N535 billion, underpinned by a 60% decline in trading gains.</p>
<p>Profitability remained strong, with profit before tax at N917 billion as against N1.00 trillion reported in September 2024.</p>
<p>Profit after tax also declined by 8% to N764 billion and Earnings Per Share (EPS) came in at N18.60 as against N26.34 in September 2024, as the Bank took bold measures to improve the quality of its loan portfolio.</p>
<p>The Bank&#8217;s total assets grew by 4% from N30 trillion in December 2024 to N31 trillion as at September 2025.</p>
<p>This was largely supported by customer deposits, which rose by 8% to N23.7 trillion within the same period. Gross loans declined by 9% to N10 trillion as at September 2025, while Non-Performing Loan (NPL) ratio improved to 3% due to the write-off of non-performing loans.</p>
<p>Return on Average Equity (ROAE) and Return on Average Assets (ROAA) stood at 23.3% and 3.3% respectively.</p>
<p>Cost of funds increased to 4.5%, underscored by the broader elevated interest rate environment.</p>
<p>The Group’s cost of risk stood at 10% while cost-to-income ratio rose to 45%.</p>
<p>Coverage ratio and liquidity ratio remain solid and well within regulatory limits at 211.1% and 53% respectively.</p>
<p>This highlights the Bank’s strong capital position and liquidity profile as well as its ability to fund strategic growth opportunities.</p>
<p>It also reflects its unwavering commitment to a prudent risk management, compliance and corporate governance culture.</p>
<p>Commenting on the results, the Group Managing Director/CEO, Dame Dr. Adaora Umeoji, OON, said: “the Bank’s robust performance is an attestation to the resilience of the Zenith brand, result-driven strategy, and the adaptability of our people in an evolving operating environment. We have fortified our capital base, reset our asset quality, and are well positioned for sustainable and profitable growth.”</p>
<p>Looking to Q4 2025, Dame Dr. Umeoji reinforced her optimistic outlook: “This result confirms the resilience of both our business model and our people. We’re on a solid growth path that we expect to maintain through the remainder of the year. Our focus on innovation, digital transformation, and developing solutions that address our clients’ changing needs positions us to capitalise on emerging opportunities whilst maintaining our disciplined approach to growth.”</p>
<p>She assured shareholders that the robust performance, combined with improved asset quality and the Bank’s strong capital base, positions Zenith Bank to deliver exceptional returns with expectations of sustained value creation.</p>
<p>“We’re well placed to sustain this momentum whilst maintaining responsible leadership in the Nigerian banking industry and delivering exceptional value to all our stakeholders.”</p>
<p>The Bank&#8217;s track record of excellent performance has continued to earn the brand numerous awards, including being recognised as the Number One Bank in Nigeria by Tier-1 Capital for the sixteenth consecutive year in the 2025 Top 1000 World Banks Ranking, published by The Banker and &#8220;Nigeria&#8217;s Best Bank&#8221; at the Euromoney Awards for Excellence 2025.</p>
<p>The Bank was also awarded Bank of the Year (Nigeria) in The Banker&#8217;s Bank of the Year Awards for 2020, 2022 and 2024; Best Bank in Nigeria from 2020 to 2022, 2024 and 2025, in the Global Finance World&#8217;s Best Banks Awards; Best Bank for Digital Solutions in Nigeria in the Euromoney Awards 2023; and was listed in the World Finance Top 100 Global Companies in 2023.</p>
<p>Further recognitions include Best Commercial Bank, Nigeria for five consecutive years from 2021 to 2025 in the World Finance Banking Awards and Most Sustainable Bank, Nigeria in the International Banker 2023 and 2024 Banking Awards. Additionally, Zenith Bank has been acknowledged as the Best Corporate Governance Bank, Nigeria, in the World Finance Corporate Governance Awards for four consecutive years from 2022 to 2025 and &#8216;Best in Corporate Governance&#8217; Financial Services&#8217; Africa for four consecutive years from 2020 to 2023 by the Ethical Boardroom.</p>
<p>The Bank&#8217;s commitment to excellence led to Zenith being also being named the Most Valuable Banking Brand in Nigeria in The Banker&#8217;s Top 500 Banking Brands for 2020 and 2021, Bank of the Year 2023 to 2025 at the BusinessDay Banks and Other Financial Institutions (BAFI) Awards, and Retail Bank of the Year for three consecutive years from 2020 to 2022 and 2024 to 2025.</p>
<p>The Bank also received the accolades of Best Commercial Bank, Nigeria and Best Innovation in Retail Banking, Nigeria, in the International Banker 2022 Banking Awards, Bank of the Year 2024 by ThisDay Newspaper; Bank of the Year 2024 by New Telegraph Newspaper; and Best in MSME Trade Finance, 2023 by Nairametrics.</p>
<p>The Bank&#8217;s Hybrid Offer was also adjudged &#8216;Rights Issue/ Public Offer of the Year at the Nairametrics Capital Market Choice Awards 2025.</p>
<p>Zenith Bank has also bagged several non-financial awards including, Most Responsible Organisation in Africa, Best Company in Transparency and Reporting and Best Company in Gender Equality and Women Empowerment at the SERAS CSR Awards Africa 2024.</p>

<p>The ceremony highlights Zenith Bank&#8217;s strong relationship with the NGX and its commitment to transparency, accountability, and bolstering investor confidence.</p>
<p>While speaking at the Nigerian Exchange, Dr. Umeoji expressed her delight in participating in the closing gong ceremony, acknowledging the NGX&#8217;s visionary leadership and innovative initiatives.</p>

The bank&#8217;s stock price has doubled since the recapitalization exercise, from N36.50 per share to N68. Zenith Bank has also reported impressive financial results for the Half Year (H1) of 2025, becoming the most profitable bank in Nigeria and paying the highest dividend in the industry for the half year,” Umeoji added.</p>
<p>&#8220;We are committed to creating value for our stakeholders and will continue to partner with the NGX to boost the Nigerian economy,&#8221; Dr. Umeoji added. &#8220;Our expansion strategy is focused on following our customers&#8217; businesses and ensuring that we go to countries and economies where we can scale and provide more returns for our shareholders.&#8221;</p>
<p>She stressed that the bank plans to make good on its promise of being investors’ delight by paying quantum dividends to its shareholders by year end. According to her, “For us in Zenith, we are looking forward to paying more based on the confidence the market reposed on us. We are working assiduously to ensure that we do not disappoint the Market.  We are going to continue to be the investors’ delight, and we assure the market that we would continue to pay enhanced dividends come end of the year.”</p>
<p>Also commenting, the Director General of the Securities and Exchange Commission (SEC), Dr. Emomotimi Agama, emphasised the role of the NGX in creating value in the Nigerian economic space. He said, “I want to thank you all for making the market what it is. Without you, the market wouldn’t have seen the leap that it has achieved in the last one-and-half year. I spoke earlier that at my assumption of office, market capitalization stood at N55 trillion, today it is hovering around N89 trillion and N93 trillion. That was not done by a spirit, it was done by you. Your ability, tenacity, courage, vision and transparency have moved the market where it is. Our vision is that by next year, we will have the market at 200trn.”</p>

										<content:encoded><![CDATA[<p>Zenith Bank Plc has released its Group financial results for the half year ending June 2025, posting an impressive profit before tax of N625.629 billion.</p>
<p>Following this robust performance, the Board has approved an interim dividend of N1.25 per share, a 25% increase over the N1.00 paid in the first half of 2024, maintaining the Bank&#8217;s position as a leading dividend-paying Bank and reinforcing its longstanding commitment to rewarding its esteemed shareholders.</p>
<p>The substantial dividend payout reflects exceptional underlying performance.</p>
<p>Despite higher provisioning requirements from the industry-wide exit of the CBN forbearance regime, the Bank recorded a robust 20% year-on-year increase in gross earnings, rising from N2.1 trillion to N2.5 trillion in H1 2025.</p>
<p>Interest income drove this performance with an impressive 60% growth, climbing from N1.1 trillion to N1.8 trillion.</p>
<p>The Bank achieved this impressive increase in interest income through strategic repricing of risk assets and effective treasury management.</p>
<p>Commenting on the H1 2025 results, Group Managing Director/CEO, Dame Dr. Adaora Umeoji, OON, noted that Zenith Bank’s performance reaffirms the creativity and innovation of our unicorn workforce in a dynamic operating environment.</p>
<p>&#8220;Despite the huge provisioning requirements as the industry exits the CBN forbearance regime, we&#8217;ve seen substantial improvement in our asset quality. Our balance sheet remains robust with adequate capital buffers, positioning us well to seize opportunities across our key markets,&#8221; she said.</p>

<p>Building on this strong foundation, the GMD/CEO indicated that the Bank expects to accelerate its growth trajectory in the second half of the year.</p>
<p>She assured shareholders that the robust performance, combined with the improved asset quality, positions the Bank to deliver exceptional returns, with expectations of a quantum year-end dividend for 2025.</p>
<p>&#8220;Our shareholders can look forward to continued value creation as we leverage emerging opportunities and maintain our strategic growth with strong corporate governance culture,&#8221; she noted, highlighting the Bank&#8217;s track record of improving dividend payments even during challenging periods.</p>
<p>Looking beyond H1 2025, she reinforced her optimistic outlook: &#8220;We&#8217;re on a solid growth path that we expect to maintain through the rest of 2025 and into 2026. Our focus remains on innovation, digital transformation, and developing solutions that address our clients&#8217; changing needs. With improving market conditions, we&#8217;re well placed to sustain this momentum whilst maintaining responsible leadership and delivering exceptional value to all our stakeholders.&#8221;</p>
<p>The Bank&#8217;s financial performance indicates strong fundamentals in a transitioning macroeconomic environment, with profit after tax reaching N532 billion and earnings per share standing at N12.95 for the period under review.</p>
<p>Net interest income demonstrated exceptional growth, surging 90% year-on-year from N715 billion to an impressive N1.4 trillion, whilst non-interest income contributed N613 billion in H1 2025.</p>
<p>The Bank&#8217;s total assets expanded to N31 trillion in June 2025, representing steady growth from N30 trillion in December 2024, underpinned by a robust and well-structured balance sheet. Customer confidence remained strong, with deposits growing by 7% from N22 trillion to N23 trillion in June 2025.</p>
<p>The loan book stood at N10.2 trillion in June 2025 against N11 trillion in December 2024., reflecting the Bank&#8217;s prudent risk management approach.</p>
<p>The Bank delivered strong returns with ROAE at 24.8% and ROAA at 3.5% as at June 2025. The cost-to-income ratio stood at 48.2%, reflecting necessary provisioning for regulatory compliance and the impact of inflationary pressures.</p>
<p>Asset quality improved significantly, with the NPL ratio dropping to 3.1% in June 2025 from 4.7% in December 2024. The Bank maintains a fortress balance sheet with capital adequacy at 26% and liquidity ratio at 69%, both comfortably exceeding regulatory requirements.</p>

										<content:encoded><![CDATA[<p>The Phase Two of the 2025 Nigeria Basketball Federation, NBBF, Women Premier League, sponsored by the Zenith Bank PLC, is expected to get underway at the University of Ilorin Multi-Purpose Sports Centre, Ilorin, on Monday, August 25, 2025.</p>
<p>The second phase, which is the Atlantic Conference, will end on September 1, 2025.</p>
<p>The Chairperson of the Women Basketball Premier League, Perpetua Clement, confirmed the federation’s readiness to adhere to the dates.</p>
<p>According to Perpetua Clement, necessary machinery has been put in place for a hitch-free completion at the Atlantic Conference of the Women League, with the Savannah Conference billed for Jos, the Plateau State capital.</p>
<p>In the 1st phase which took place in Benin, defending Champions, Mountain of Fire and Miracle Ministries Basketball team and First Bank, had a good run against others like Dolphins, Bayelsa Blue Whales, and First Deep Waters.</p>
<p>In the Savannah Conference, Air Warriors and Plateau Rocks are the high fliers in a group which also has Customs, Kada Angels, HAM Warriors, Titans, Royal Aces and Nasarawa Amazons.</p>
<p>The Savannah Conference second Phase also starts on Monday in Jos.</p>

										<content:encoded><![CDATA[<p>Shareholders of Zenith Bank Plc, at the 34th Annual General Meeting (AGM) held at the Civic Centre, Victoria Island, Lagos, on Tuesday, April 29, 2025, approved the proposed final dividend payment of NGN4.00 per share, bringing the total dividend for the 2024 financial year to NGN5.00 per share, with a total value of NGN195.67 billion.</p>
<p>The Founder and Chairman of Zenith Bank Plc, Jim Ovia, CFR, thanked the shareholders for their unflinching support and commitment, which have been responsible for the bank’s stellar performance over the years.</p>
<p>He noted that despite challenges globally in 2024, Zenith Bank was able to leverage the opportunities within the environment of each subsidiary to record a performance that solidly attested to the bank’s resilience as a brand.</p>
<p>The Group Managing Director/Chief Executive Officer, Dame Dr. Adaora Umeoji, OON, expressed her appreciation to the shareholders for their commitment and support, promising quantum leap in dividends going forward.</p>
<p>According to her, “This is the first time that I am addressing the Annual General Meeting (AGM) in my capacity as the first female GMD/CEO of Zenith Bank. I would like to thank you for your confidence and support that has placed me in this position today”.</p>
<p>She further said that “Zenith Bank is committed to, not only meeting your expectations, but exceeding them. We are focused on running a very efficient and sustainable institution that is resilient and will ensure that our institution outlives many generations to come”.</p>
<p>Talking specifically about dividend, she emphasized that “If you look at our dividends trajectory, payments over the period have always increased and we will continue to maintain this record. We have successfully completed our recapitalization exercise, achieving 160% subscription. Therefore, we are not under any pressure to go back for the second time to raise funds. Zenith Bank has sufficient capital buffer to do business and we will continue to delight our shareholders. We are committed to growing our topline organically while adhering to our strict corporate governance culture.”</p>
<p>Dr. Faruk Umar, President of the Association of the Rights of Nigerian Shareholders (AARNS), applauded the Group Managing Director for her efforts in ensuring the growth of the bank’s financial indices.</p>
<p>He said, “We are very happy that the bank is paying us N5. Most importantly the GMD/CEO, Dame Dr. Adaora Umeoji, has done so well. In the past year, she won the award for the Banker of the Year which is very commendable, and all the bank’s indices have gone up; we are now experiencing trillions in profit against N676 billion the previous year, and the shareholder’s funds, the gross earnings – everything now is in trillions. I think this is very commendable. The bank has won so many awards – no bank in Nigeria has won such qualitative awards like they have. They also surpassed the capitalization threshold of CBN by 160% &#8211; this is unprecedented. We are very happy with their performance.”</p>
<p>Speaking on the dividend payout, Alhaji Otunba Mukhtar Mukhtar, Chairman, Trusted Shareholders Association of Nigeria, said “The consistency of Zenith Bank dividend payout has never been matched in Nigeria. Since the inception of this bank, they have kept giving shareholders a consistent dividend payout, and this has made shareholders to be richer, happier, and more excited at the hardwork, performance and commitment of the bank. We are very happy. If you look at the Profit Before Tax (PBT) and the Profit After Tax (PAT), they have been able to cross the N1 trillion threshold. They have given us a Profit Before Tax of N1.3 trillion, which is very commendable. The shareholders, as you have seen at the meeting, have expressed their happiness and joy about this performance. I am grateful to the Chairman, Dr. Jim Ovia, CFR, the Management and the Board for such an outstanding performance.”</p>
<p>Ambassador Dr. Olatunde Okelana, the Balogun Olugbon of Orile-Igbon, Oyo State, also commented on the bank’s dividend payout.</p>

<p>Chief Timothy Adesiyan, President of the Shareholders Solidarity Association of Nigeria, praised the Chairman and Management of Zenith Bank for their consistent delivery of value to shareholders.</p>
<p>He noted, “The dividend we received this year of N5 has been a promise which they have given to us at several forums which they have called at different times, and we thank them for not failing us in their promise. I am very proud to be a shareholder of Zenith Bank, and also their customer. The bank is a very reliable bank &#8211; if you keep your investments in Zenith Bank, you can go to sleep because there is always somebody there watching your investment for you.”</p>
<p>The bank’s robust financial performance in 2024 alluded to its commitment to continually delivering value to its investors in spite of challenging macroeconomic conditions. Zenith Bank Group achieved a remarkable double-digit growth of 86% in gross earnings, from NGN2.13 trillion in the previous year to NGN3.97 trillion in 2024.</p>
<p>This was driven by a 138% increase in interest income, supported by investment in high-yield government securities, and growth in the Bank’s loan book.</p>
<p>Customer deposits grew by 45%, reflecting the bank&#8217;s market leadership and customers&#8217; trust.</p>

										<content:encoded><![CDATA[<p>Zenith Bank Plc has emerged as ‘Bank of the Year, Nigeria’ in The Banker’s Bank of the Year Awards 2024.</p>
<p>The award, which was announced by The Banker Magazine, Financial Times Group, United Kingdom, during the awards ceremony held in London on December 4, 2024, is in recognition of the bank&#8217;s strong management, sound business model and strategy, and approach to sustainability and ESG banking practices.</p>
<p>The Banker&#8217;s ‘Bank of the Year’ accolade is among the most coveted and widely regarded award in the banking industry.</p>
<p>Often contested by the world’s leading financial institutions, the winners span across Africa, Asia-Pacific, Central &amp; Eastern Europe, Latin America, the Middle East, North America and Western Europe.</p>

										<content:encoded><![CDATA[<p>In keeping with its acclaimed annual tradition, Zenith Bank once again set the stage for the Yuletide season with the Light-Up of Ajose Adeogun Street and Roundabout, Victoria Island, Lagos on Saturday, 23 November 2024.</p>
<p>The Light-Up ceremony was performed by the Group Managing Director/Chief Executive of Zenith Bank Plc, Dame (Dr.) Adaora Umeoji, OON.</p>
<p>The Light-Up ceremony is a Corporate Social Responsibility, CSR, initiative of Zenith Bank.</p>
<p>Now in its 18th year, the beautiful Christmas decoration, which transforms the entire stretch of Ajose Adeogun Street (home to Zenith Bank’s Corporate Headquarters) and Roundabout into a breathtaking yuletide wonderland, has come to be recognized as an iconic tourist attraction, bringing visitors from far and wide who visit with their families and friends to take pictures and enjoy the ambience of the street.</p>
<p>Speaking during the ceremony, Dame (Dr.) Adaora Umeoji said “Over the years, Zenith Bank has hosted this spectacular event, transforming the entire Ajose Adeogun Street into a breathtaking yuletide wonderland. Our beautiful and elaborate Christmas decorations have become a centre of attraction and shared on social media platforms globally. As we light up the street tonight, we celebrate the essence of Christmas and Zenith Bank’s unparalleled CSR. Our customers will always be at the centre of all that we do in Zenith Bank.”</p>

										<content:encoded><![CDATA[<p>The Fourth Edition of the Zenith Bank Tech Fair, tagged “Future Forward 4.0: Embedded Finance, Cybersecurity &amp; Growth Imperatives – The Impact of AI”, is set to hold on Thursday, November 21, 2024, at the Eko Convention Centre, Eko Hotels &amp; Suites, Victoria Island, Lagos, from 8.00 a.m. to 6.00 p.m.</p>
<p>The fair will showcase leading technological innovations that cut across Artificial Intelligence, Cybersecurity, Risk Management, Compliance, Financial Intelligence, Cloud Computing, and Communication Technologies, among others.</p>

										<content:encoded><![CDATA[<p>Zenith Bank Plc is set to raise N290 billion through a combination of a Rights Issue and a Public Offer in compliance with the revised minimum capital requirements for Nigerian commercial banks introduced by the Central Bank of Nigeria, CBN.</p>
<p>This announcement was made during the Zenith Bank Rights Issue/Public Offer Signing Ceremony held yesterday, July 29, 2024, at The Civic Centre, Victoria Island, Lagos.</p>
<p>This event marks a significant milestone in the bank’s previously announced capital-raising programme, aimed at bolstering its capital base and supporting its growth trajectory across its banking and non-banking subsidiaries.</p>
<p>The Rights Issue offers 5,232,748,964 ordinary shares of 50 Kobo each at N36.00 per share, while the Offer for Subscription presents 2,767,251,036 ordinary shares of 50 Kobo each at N36.50 per share.</p>
<p>The Rights Issue affords existing shareholders the opportunity to purchase additional shares in proportion to their current holdings and is being offered on the basis of one new ordinary share for every six existing ordinary shares held as of Wednesday, July 24, 2024.</p>
<p>Conversely, the public offer for subscription is open to the general public and aims to attract new investors.</p>
<p>Speaking at the signing ceremony, the Group Managing Director/CEO of Zenith Bank Plc, Dame (Dr.) Adaora Umeoji, OON, expressed enthusiasm about the Rights Issue and Public Offer, stating, “Today, we signed the transaction documents with respect to Zenith Bank’s N290 billion Rights Issue and Public Offer.</p>
<p>This is slightly above the N230 billion required for us to meet the CBN’s minimum recapitalisation requirement.</p>
<p>We are extremely pleased with the level of enthusiasm we have already seen from our existing shareholders for the Rights Issue.</p>
<p>Beyond existing shareholders, incorporating a public offer is crucial to ensure that our customers, who are not yet shareholders, can have the opportunity to join in the ownership of this premium brand.</p>

<p>“In terms of Tier-1 Capital, Zenith Bank has been adjudged by The Banker, Financial Times to be number one in Nigeria and the only Nigerian Bank in the top 600 banks globally. Over the years, we have consistently rewarded our esteemed shareholders. Specifically, in the last five years, we have maintained the record as the highest dividend-paying Bank in Nigeria. In 2023, we set a record as the only Nigerian Bank to pay a dividend of N4 per share.”</p>
<p>She added that the proceeds from the capital raise will be channelled towards expanding banking operations across Africa and internationally, investing in technology infrastructure, and supporting working capital on an ongoing basis.</p>
<p>She expressed optimism that given Zenith Bank’s track record of profitability and consistency in creating wealth for shareholders, the capital raise will be a resounding success.</p>
<p>She assured prospective investors that Zenith Bank will maintain its leadership in dividend payout in the years ahead and encouraged them to invest in value and invest in Zenith Bank.</p>
<p>She also expressed her profound gratitude to the Founder and Chairman, Dr. Jim Ovia CFR, whose vision over 34 years ago laid the foundation for a reputable, dominant, globally recognised financial institution known for innovation, superior performance, and the creation of premium value for all stakeholders.</p>
<p>The Chief Executive of Stanbic IBTC Capital Limited, Mr. Oladele Sotubo, commended the management of Zenith Bank for their commitment to the transaction, which provides an opportunity for existing shareholders to consolidate their position and welcomes new investors to join the journey towards the future of Zenith Bank.</p>
<p>He also expressed gratitude for the opportunity for Stanbic IBTC Capital Limited to lead and guide the execution of the transactions.</p>
<p>Speaking further, he said, “A combined offer that is both a Rights Issue and a Public Offer confirms Zenith Bank&#8217;s position as a pacesetter and a role model, which will undoubtedly spur more transactions in the capital market.”</p>
<p>The lead issuing house for the Rights Issue and Public Offer is Stanbic IBTC Capital Limited, with joint issuing houses including Quantum Zenith Capital &amp; Investments Limited, CardinalStone Partners Limited, Meristem Capital Limited, Chapel Hill Denham Advisory Limited, Coronation Merchant Bank Limited and Vetiva Advisory Services Limited.</p>
<p>The Offer will open on Thursday, August 1, 2024, and close on Monday, September 9, 2024.</p>
